About the Platform

Talashi Capital (hereinafter referred to as "Company") operates the website www.talashicapital.com and any associated mobile or digital platforms (collectively referred to as the "Talashi Capital Platform" or "Platform"). The Company is an AMFI Registered Mutual Fund Distributor (ARN – 358735), having its registered office at Ocus Quantum, Sector-51, Gurgaon – 122018.

Use of the Platform

The Company provides Users with the opportunity to access services and/or products offered on the Platform, subject to the User carefully reading, accepting, and agreeing to abide by these Terms of Use, the Privacy Policy, and other applicable product-related Terms and Conditions.

These Terms of Use, the Privacy Policy, and product-related Terms and Conditions may be modified at any time, at the sole discretion of the Company, without prior intimation to the User. The revised version shall be posted on the Platform. It is the User's responsibility to review these terms on a regular basis. By continuing to access and use the Platform, the User is deemed to have understood and agreed to the revised version.

If the User disagrees with any part of these Terms of Use or Privacy Policy, the User is free to discontinue use of the Platform.

In the event of any inconsistency between the Terms of Use and the Privacy Policy, the Terms of Use shall prevail.

If the User notices any inaccuracies or errors in the content, they are encouraged to inform the Company in writing so that necessary corrections can be made.

Definitions

• "Platform" means the website hosted at www.talashicapital.com and any associated digital interfaces operated by the Company.
• "User" means any person who accesses or uses the Platform or avails any services or products offered through it.
• "Company" refers to Talashi Capital.
• "KYC" means all requirements pertaining to "Know Your Client" norms and customer due diligence as prescribed by regulatory authorities from time to time.

• "Privacy Policy" means the privacy policy published on the Platform.
• "Terms of Use" means these terms and conditions governing the use of the Platform.

Agreement

These Terms of Use, Privacy Policy, and any product-specific Terms and Conditions together constitute a legally binding agreement between the User and the Company regarding the use of the Platform and availing of products/services offered thereon.

Terms of Use – User Obligations

By accessing or using the Platform, the User agrees to:

1. Provide all necessary and accurate information to the Company at the time of registration, as required by applicable Law, and whenever there is a change in previously provided information.
2. Acknowledge that the Company may appoint third-party vendors or service providers to fulfil its obligations under these Terms of Use.
3. Acknowledge that the Platform is primarily intended for use by persons resident in India. Any access or use by a non-resident of India shall be at such person's sole responsibility, including determining whether such use constitutes a breach of applicable laws in their country of residence. Such a User shall indemnify and hold harmless the Company against any resulting liability.
4. Consent to the Company collecting the User's personal information and using it to provide appropriate services and products.
5. Acknowledge that the Company may share User information (personal, transactional, and behavioural) with associates, vendors, service providers, and business partners for the purpose of providing services or for analytics.
6. Acknowledge that the Company and its partners may record conversations for purposes including but not limited to quality control and record retention, and that such records shall be maintained in confidence.

• The Company shall not be liable for any damage or injury caused by failure of performance, error, omission, interruption, deletion, defect, delay in operation or transmission, computer virus, communication line failure, or unauthorized access to or use of records.
• If any limitation of liability provision is held to be unenforceable, the maximum liability of the Company to the User shall not exceed ₹500.
• The Platform may provide links to third-party websites or content for informational or educational convenience. Such links do not constitute an endorsement by the Company. The Company is not responsible for the content, availability, or accuracy of third-party websites and shall have no liability in relation to such content.

User Declaration

By using the Platform, the User confirms that:

1. They have read, understood, and agreed to these Terms of Use, the Privacy Policy, and any applicable Terms and Conditions.
2. They are legally eligible and competent to enter into this agreement.
3. They have sufficient knowledge to understand the risks involved in availing any product or service offered through the Platform.
4. All details provided by them on the Platform are true, correct, and complete.
5. They will update their personal details as soon as any change occurs.
6. They will keep their login credentials safe and confidential.

Proprietary and Intellectual Property Rights

The Company is the authorized owner and/or licensee of all trademarks, service marks, content, and intellectual property appearing on the Platform, including but not limited to text, images, illustrations, audio, and video content. All rights on the Platform are reserved.

Users may not download, copy, reproduce, distribute, transmit, publish, or create derivative works from any content on the Platform without the express written permission of the Company, except for personal, non-commercial use.

The Company does not grant any license or authorization to use its trademarks, registered marks, or other intellectual property by placing them on the Platform.

User Communications

By accessing the Platform and accepting these Terms of Use, the User provides express consent to be contacted by the Company or its associates and business partners at the contact details provided during registration — including via SMS, calls, email notifications, and messages delivered through automated systems — even if the User is registered on the National Do Not Call Registry.

The Company may use the User's email address or contact information to send service-related communications, updates, and marketing messages, with an option to unsubscribe from marketing communications.

Prohibited Activities

Users shall not:

1. Use the Platform for any unlawful purpose or in any manner not permitted by these Terms of Use.
2. Modify, copy, distribute, or sell any information, software, or services obtained through the Platform.
3. Post or transmit any unlawful, fraudulent, defamatory, obscene, offensive, or otherwise objectionable content.
4. Transmit spam, chain letters, unsolicited commercial communications, or any software containing viruses or harmful components.
5. Attempt to decompile, reverse engineer, or hack any software or security measures on the Platform.
6. Upload or share content that belongs to another person without authorization, infringes intellectual property rights, or violates any applicable law.
7. Impersonate any person or entity or misrepresent their affiliation with any person or entity.
8. Share content that threatens the integrity, sovereignty, or security of India or that incites any unlawful act.

Authority

The User irrevocably authorizes the Company to access all information relating to the User available on the Platform, including personal information, access and usage data, transactions, and user behaviour — subject to the Privacy Policy.

All information submitted on or through the Platform shall be deemed the property of the Company and may be used by it to provide services/products to the User.

Indemnity

The User agrees to indemnify and hold harmless the Company, its directors, officers, and employees from any and all claims, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising from:

1. Any violation of these Terms of Use by the User.
2. Any illegal or unauthorized act, fraud, or negligence on the part of the User.
3. Misuse of information provided on or through the Platform.

Termination

The Company may, at its sole discretion and without prior notice, suspend or terminate the User's access to the Platform if:

1. The User engages in conduct that violates these Terms of Use or the rights of the Company.
2. The Company becomes aware of the User's death, bankruptcy, or lack of legal capacity.
3. Directed by regulatory or government bodies.
4. For any other reason the Company deems appropriate.

Confidentiality

The Company shall maintain the confidentiality of the User's personal information in accordance with its Privacy Policy. The Company shall exercise reasonable care to protect User information and shall ensure that any third parties with whom information is shared are under contractual obligations to maintain confidentiality and use such information only for the purposes required under their agreement with the Company.

Governing Law and Jurisdiction

These Terms of Use and all transactions entered through the Platform shall be governed by and construed in accordance with the Laws of India. All disputes arising under or in connection with these Terms of Use shall be subject to the exclusive jurisdiction of the competent courts located in Gurugram (Gurgaon), Haryana, India.

The Company accepts no liability for non-compliance with the laws of any country other than India.

Arbitration

In the event of any dispute between the User and the Company in connection with these Terms of Use, the parties shall first attempt to resolve the dispute amicably. If the dispute is not resolved within 15 days, either party may refer the matter to arbitration. The arbitration shall be conducted by a sole arbitrator mutually appointed by the parties, or in case of disagreement, by three arbitrators (one appointed by each party and a third appointed by the two). Arbitration proceedings shall be held in Gurugram, India, and governed by the Indian Arbitration and Conciliation Act, 1996. The language of arbitration shall be English.

No Waiver

The failure or delay of the Company to exercise any right or enforce any provision of these Terms of Use shall not constitute a waiver of such right or provision.

Severability

If any provision of these Terms of Use is found to be invalid or unenforceable, such invalidity shall apply only to that provision. The remaining provisions shall continue to be valid and enforceable.

Limitation of Claims

Any claim or cause of action arising out of or related to use of the Platform or these Terms of Use must be filed within 3 months from the date the cause of action arose, failing which it shall be permanently barred.

Force Majeure

The Company shall not be responsible for any delay or failure in performance of its obligations due to circumstances beyond its reasonable control, including but not limited to natural calamities, war, civil disorder, power or communication failures, computer viruses, hacking, or acts of government or regulatory authorities.

No Agency

These Terms of Use do not create any agency, partnership, joint venture, or employer-employee relationship between the User and the Company or any of its associates, vendors, or business partners.

Miscellaneous

1. Section headings in these Terms of Use are for convenience only and shall not affect the interpretation of any provision.
2. Users are responsible for providing their own internet access and all equipment necessary to use the Platform.
3. The Company shall ensure functioning of the Platform on a best-effort basis and reserves the right to monitor, modify, or restrict access to the Platform at any time.
4. The Company reserves the right to remove any content that, in its sole discretion, is inappropriate, unacceptable, or in violation of these Terms of Use.
